Terms & Conditions

Effective Date: October 1, 2026

Important notice. Read this entire agreement carefully.

This agreement contains a mandatory arbitration provision, a class action waiver, and a jury trial waiver that affect your legal rights. Unless you opt out as described in Section 14, you are agreeing to resolve disputes through binding individual arbitration and are waiving your right to sue in court, to a jury trial, and to participate in a class action.

Disclaimers and Risk Warnings

Education and entertainment only. No investment advice.

The event is provided strictly for education and entertainment purposes only.

Nothing presented before, during, or after the Event, including any strategies, setups, trade examples, checklists, cheat sheets, chat discussion, or recordings, constitutes or should be construed as personalized financial advice, investment advice, trading recommendations, or a solicitation to buy or sell any security, option, future, currency, or other financial instrument. Any trades referenced or demonstrated by any presenter are examples of that individual's personal activity and are not recommendations. You are not receiving investment advice of any kind by attending.

Risk warning. Possibility of total loss.

Trading options and other financial instruments involves a high degree of risk that can result in substantial losses, including the complete loss of your invested capital and, in some cases, losses exceeding your initial investment.

Do not trade with money you cannot afford to lose, with borrowed money, or with money needed for essential living expenses. You should carefully consider whether trading is suitable for you in light of your financial condition, risk tolerance, experience, and personal circumstances.

No guarantee of profits or success.

No representation or guarantee is being made that any strategy, method, or approach presented at the Event will or is likely to generate profits.

The Company and the presenters make no representations, warranties, guarantees, or promises, express or implied, regarding your potential for income, earnings, profits, or trading success. Past performance, whether actual or hypothetical, is not indicative of future results. Market conditions change, strategies that worked in the past may fail, and individual results vary dramatically based on factors outside anyone's control.

Testimonials are not typical.

Any testimonials, reviews, success stories, or examples of profits shown in connection with the Event reflect individual experiences and may not be typical. They are not a promise or prediction of what you should expect.

Many people who attempt trading make little or no money, and some lose all of their trading capital. We make no guarantee that you will earn any money using any technique, idea, strategy, or information presented at the Event.

Hypothetical performance limitations.

Hypothetical or simulated results have inherent limitations. They do not represent actual trading, are not affected by real market conditions or liquidity, and do not account for the impact of financial risk on actual trading decisions. There are frequently sharp differences between hypothetical results and the results later achieved by any particular approach.

Not licensed financial advisors. No regulatory oversight.

The Company is not an investment advisor, broker-dealer, or financial institution and is not registered with the SEC, FINRA, the CFTC, the NFA, or any other financial regulatory body.

Neither the Company nor any presenter, owner, officer, employee, or representative is a licensed or registered investment advisor, broker-dealer, commodity trading advisor, or financial planner. You must assess the risk of any trade with your own broker and make your own independent decisions.

1. Agreement and Parties

These Terms and Conditions (the "Terms" or this "Agreement") govern your purchase of a ticket to and your participation in Pathway 2 Freedom: The Return (the "Event"), a live online masterclass scheduled for Sunday, October 11, 2026 at 7:00 PM ET on Zoom. The Event is sold by Honest Investing Inc., a Texas corporation doing business as Kenan Grace University (the "Company," "we," "us," or "our").

By purchasing a ticket or attending the Event, you confirm that you are at least 18 years old, that you have read and understood these Terms, the Privacy Policy, and the Refund & Fulfillment Policy, each of which is incorporated by reference, and that you agree to be legally bound by them.

2. Independent Presenters

The Event is presented by Kenan Grace together with Chris Sain and Larry Jones (the "Co-Presenters"). You acknowledge and agree that:

  1. The Co-Presenters are independent individuals who operate their own separate businesses. They are not owners, officers, employees, agents, or representatives of the Company, and they have no ownership interest in the Company.
  2. The Co-Presenters have no authority to modify, amend, waive, or alter these Terms or to make commitments on behalf of the Company.
  3. Each presenter is solely responsible for the accuracy of his own statements, opinions, strategies, and trade examples. The Company is not responsible for statements, promises, or offers a Co-Presenter makes outside the Event, including on his own channels, websites, or communities.
  4. Any products, services, communities, or offers that a Co-Presenter may describe or make available, at the Event or afterward, are offered solely by that Co-Presenter under his own terms, and your relationship with him regarding those offers is separate from your relationship with the Company.
  5. Because the Event is presented jointly, your name and the email address used at checkout will be shared with each Co-Presenter so they can help deliver the Event and follow up with you about it. Each Co-Presenter may contact you from his own business, and you can unsubscribe from any of them at any time. Their use of your information is governed by their own privacy policies.
  6. The disclaimers, limitations of liability, releases, and indemnities in these Terms extend to and protect each Co-Presenter to the same extent they protect the Company. Each Co-Presenter is an intended third-party beneficiary of those provisions and may enforce them directly.

3. What You Are Purchasing

Your ticket includes: (a) access to the live Event on Zoom; (b) the full Event recording; and (c) the action step cheat sheet from each session. Delivery details and timing are set out in the Refund & Fulfillment Policy. All materials are digital. Your ticket is for one individual, is non-transferable, and may not be resold or shared.

Payment is processed and access is delivered through Whop, a third-party platform acting on the Company's behalf. Your use of Whop is also subject to Whop's own terms and privacy policy, which you accept at checkout. The Company is not responsible for outages, errors, or data practices of Whop, Zoom, or any other third-party platform.

4. Payment

The ticket price is stated at checkout in U.S. dollars and is charged in full at the time of purchase. You are responsible for any taxes or fees that apply to you. You represent that you are authorized to use the payment method provided.

5. Refunds and Chargebacks

All sales are final, as set out in the Refund & Fulfillment Policy, which also describes how we handle duplicate charges and order errors. If you reside in a jurisdiction that provides a statutory cancellation or withdrawal right for online purchases, you expressly request that delivery of the digital content begin immediately upon purchase and acknowledge that, to the extent permitted by law, you lose any such right once delivery has begun. Please contact support@kenangraceuniversity.com to resolve any billing issue before initiating a chargeback or payment dispute; most issues are resolved in one email. Nothing in these Terms limits any dispute rights you have under applicable law. If a chargeback is filed for a ticket that was delivered as described, the Company may contest it with evidence of delivery and may suspend access while the dispute is pending.

6. Intellectual Property and Recording

All Event content, including the live session, the recording, slides, checklists, cheat sheets, chat content, and all other materials ("Content"), is owned by the Company and the respective presenters and is protected by copyright and other intellectual property laws. You receive a limited, personal, non-exclusive, non-transferable, revocable license to view the Content for your own educational use.

You may not record, screen-capture, copy, reproduce, share, distribute, publish, sell, or create derivative works from any Content, and you may not share your access link, login, or materials with anyone. Any unauthorized recording or distribution is a material breach, will result in immediate termination of access without refund, and may expose you to legal liability.

7. Event Recording and Your Likeness

The Event will be recorded, and notice of recording will be given at the start of the session. By attending, you acknowledge that your name, username, voice, image, questions, and chat messages may be captured in the recording and in screenshots or clips of the Event. You grant the Company and the Co-Presenters a non-exclusive, royalty-free license to include that material in the Event recording distributed to ticket holders and in short educational or promotional clips from the Event, without compensation to you. We will not use your face or full name in paid advertising without your separate written permission. If you do not wish to appear in the recording, keep your camera and microphone off and do not post in chat.

If you later provide a testimonial or review, you grant the same license for its use, and you represent that it is truthful and reflects your honest experience.

8. Conduct

You agree to behave respectfully and professionally during the Event and in any related chat or community space. Harassment, discrimination, threats, spam, solicitation, promotion of other products or services, sharing of proprietary content, or any disruptive behavior may result in immediate removal from the Event and termination of access without refund, at the Company's sole discretion.

9. Changes, Rescheduling, and Cancellation

The Company may modify the Event format, running order, duration, presenters, platform, or schedule at any time. If the live Event is rescheduled, you will be notified by email at the address used at checkout, and your ticket will be honored for the rescheduled date. If the Event is cancelled entirely and not rescheduled, your sole and exclusive remedy is a refund of the ticket price you paid. The Company is not liable for any other costs or losses arising from a change, rescheduling, or cancellation.

The Company is not responsible for failure or delay in performance caused by events beyond its reasonable control, including internet or platform outages, illness, natural disasters, government action, or other force majeure events.

10. Technical Requirements

You are responsible for your own internet connection, device, and software capable of running Zoom and accessing Whop. The Company is not responsible for your inability to attend live due to technical issues on your end. The recording is provided so that you can view the Event afterward.

11. Electronic Communications

By purchasing a ticket you consent to receive electronic communications from the Company, including Event access details, reminders, updates, educational content, and marketing messages, by email and, only if you separately opt in to receive text messages, by text message. You may opt out of marketing messages at any time using the unsubscribe mechanism provided, but you cannot opt out of transactional communications related to your purchase. You agree that electronic notices satisfy any legal requirement that communications be in writing. You are responsible for keeping your contact information current.

12. Disclaimer of Warranties, Limitation of Liability, and Release

The Event and all Content are provided "as is" and "as available" without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

To the maximum extent permitted by law, the total aggregate liability of the Company and the Co-Presenters to you for all claims arising out of or relating to this Agreement or the Event shall not exceed the amount you paid for your ticket.

In no event shall the Company, the Co-Presenters, or any of their respective owners, officers, employees, agents, contractors, affiliates, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any trading or investment losses, lost profits, lost opportunities, or other economic harm, regardless of the theory of liability and even if advised of the possibility of such damages.

The Company and the Co-Presenters have no duty to monitor, review, or guide your trading. To the extent permitted by law, you release the Company and the Co-Presenters from claims arising from your own trading decisions, your reliance on any Content, interruptions or failures of the Event caused by third-party platforms, or the conduct of other attendees. This release does not apply to claims arising from the Company's gross negligence, willful misconduct, or fraud, or to any right that cannot be waived by contract.

Some jurisdictions do not allow certain limitations or exclusions, so some of the above may not apply to you. Nothing in this Agreement limits any rights you may have under applicable law that cannot be waived by contract.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Company, the Co-Presenters, and their respective owners, officers, employees, agents, contractors, affiliates, successors, and assigns from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, to the extent arising out of: (a) your breach of these Terms; (b) your violation of any law or of the rights of any third party, including unauthorized recording or distribution of Content; (c) any content you submit, post, or transmit in connection with the Event; or (d) claims by third parties relating to your own trading or investment decisions. This indemnity does not apply to claims caused by the Company's own breach, negligence, or misconduct.

14. Dispute Resolution, Arbitration, and Jury Waiver

Governing law.

This Agreement is governed by the laws of the State of Texas, without regard to its conflict of law principles. These Terms do not deprive you of any mandatory consumer protections under the law of the place where you reside.

Informal resolution first.

If a dispute arises, you and the Company agree to first attempt to resolve it informally. Send a written notice describing the nature and basis of the claim and the specific relief sought to Honest Investing Inc., 17350 State Highway 249, Ste. 220, Houston, TX 77064, or by email to support@kenangraceuniversity.com. If the dispute is not resolved within 30 days after notice is received, either party may proceed to arbitration.

Binding individual arbitration.

Except as provided below, every dispute between you and the Company or any Co-Presenter arising out of or relating to this Agreement, the Event, or your relationship with the Company, whether based in contract, tort, statute, fraud, misrepresentation, or any other theory, shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by these Terms. The AAA rules and forms are available at www.adr.org. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision. The arbitrator may award the same damages and relief on an individual basis that a court could award. Payment of filing, administrative, and arbitrator fees will be governed by the AAA Consumer Arbitration Rules, and the Company will pay any such fees that those rules require the business to pay. Each party bears its own attorneys' fees unless applicable law or the arbitrator provides otherwise. Any arbitration hearing will take place by video conference or in the county where you reside, at your election.

Exceptions.

Either party may: (a) bring an individual action in small claims court; (b) pursue an enforcement action through an applicable federal, state, or local agency; (c) seek injunctive relief in court to protect intellectual property or to prevent unauthorized use of Content; or (d) pursue any remedy under federal or state law that cannot be waived by agreement.

Your right to opt out.

Arbitration is not a mandatory condition of your purchase. You may opt out of this arbitration provision by sending an email from the address used at checkout to support@kenangraceuniversity.com within 30 days of your purchase, stating that you opt out of arbitration and including your full name and mailing address. Opting out must be done by you personally. You will not face any adverse consequence for opting out. If you do not opt out within 30 days, you and the Company are bound by this provision.

Class action and jury trial waiver.

You and the Company agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims of more than one person. To the fullest extent permitted by law, you and the Company each waive the right to a trial by jury in any proceeding arising out of or relating to this Agreement.

Venue if litigation is permitted.

If a claim is not subject to arbitration, or if the arbitration provision is found unenforceable, you and the Company agree to the exclusive jurisdiction and venue of the state and federal courts located in Harris County, Texas.

Severability of this section.

If any part of this Section 14 is found unenforceable, it shall be reformed to the minimum extent necessary and the remainder enforced, except that if the class action waiver is found unenforceable as to a particular claim, that claim shall proceed in court rather than arbitration.

15. General Provisions

Entire agreement. These Terms, together with the Privacy Policy and the Refund & Fulfillment Policy, constitute the entire agreement between you and the Company regarding the Event and supersede all prior or contemporaneous statements, representations, and agreements, written or oral. If anything in marketing materials, videos, or social media is inconsistent with these documents, these documents control. Nothing in this paragraph limits any rights you have under consumer protection or advertising laws.

Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in full force and effect.

No waiver. The Company's failure to enforce any provision is not a waiver of that provision or any other.

Assignment. You may not assign or transfer this Agreement or your ticket. The Company may assign this Agreement without restriction.

Relationship of the parties. Nothing in this Agreement creates a partnership, joint venture, agency, fiduciary, or employment relationship between you and the Company or any Co-Presenter.

Survival. The disclaimers, intellectual property provisions, likeness license, limitation of liability, release, indemnification, dispute resolution, and general provisions survive the conclusion of the Event and any termination of this Agreement.

Acceptance by purchase. No signature is required. Completing a purchase constitutes your acceptance of this Agreement, and electronic records of this Agreement are enforceable to the same extent as a signed writing.

Modification. The Company may update these Terms by posting a revised version with a new effective date. The version in effect at the time of your purchase governs that purchase.
